By accessing and using the SPEAR platform ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service ("Terms") govern your use of our website located at spear-global.com and our remote device management services operated by SPEAR Platform ("us", "we", or "our").

SPEAR provides a secure remote device management platform that enables users to:

• Remotely access and control devices
• Manage device configurations and settings
• Monitor device performance and security
• Collaborate with team members on device management
• Access analytics and reporting features

The Service is provided on a subscription basis with different pricing tiers and features as outlined on our pricing page.

To use our Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use our Service.

Subscription Plans:

• Single User Plan: $199/month (or $149/month with SPEARMINT coupon)
• Two User Bundle: $298/month total ($149 per user)
• Free trial: 12-hour desktop-only trial available

Payment Terms:

• Subscriptions are billed monthly in advance
• Payment is due immediately upon subscription activation
• We accept major credit cards and other payment methods as available
• All fees are non-refundable except as required by law
• We may change pricing with 30 days' notice to existing subscribers

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to other systems
• Interfere with or disrupt the Service or servers
• Use the Service for illegal surveillance or monitoring
• Share your account credentials with unauthorized parties
• Reverse engineer or attempt to extract source code

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You retain ownership of your data. We provide tools to export your data and will delete your data upon account termination, subject to legal retention requirements.

You are responsible for ensuring you have proper authorization to access and manage any devices through our Service.

We strive to maintain 99.9% uptime for our Service, but we do not guarantee uninterrupted access. We may perform maintenance that temporarily affects availability.

Support:

• Email support is available to all subscribers
• We typically respond within 24 hours
• Priority support may be available for enterprise customers
• Self-service resources are available in our help center

Either party may terminate this agreement at any time:

By You:

• Cancel your subscription through your account settings
• Cancellation takes effect at the end of your current billing period
• No refunds for partial months

By Us:

• For violation of these Terms
• For non-payment of fees
• For illegal or harmful use of the Service
• With 30 days' notice for any reason

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

You agree to indemnify and hold harmless SPEAR Platform from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where SPEAR Platform is incorporated, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration, except for claims that may be brought in small claims court.

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.
